These Terms and Conditions govern your access to and use of the PreOncology website, digital tools, content, communications, and related online services.

This website is operated for both PreOncology LLC and PreOncology Institute, PA.

By using the website, you agree to these Terms. If you do not agree, do not use the website.

1. About PreOncology

PreOncology provides an oncologist-led cancer prevention and early detection program designed to support personalized cancer risk assessment, surveillance planning, clinical review, and care coordination.

Certain clinical services are provided by PreOncology Institute, PA. Non-clinical management, technology, administrative, and business services may be provided by PreOncology LLC or other affiliated entities.

2. Website Content Is Informational

The content on this website is for general informational and educational purposes only.

Website content is not intended to be, and should not be treated as, medical advice, diagnosis, treatment, or a substitute for professional medical judgment.

You should always seek the advice of your physician or other qualified health care professional regarding any medical condition, symptoms, test result, screening decision, treatment option, or health concern.

3. No Medical Relationship From Website Use Alone

Use of this website does not create a physician-patient relationship, provider-patient relationship, or clinician-patient relationship with PreOncology LLC, PreOncology Institute, PA, or any PreOncology clinician.

A clinical relationship is formed only when you complete the required enrollment, consent, intake, and clinical onboarding process and are accepted into the applicable clinical service by PreOncology Institute, PA or another authorized clinical provider.

4. Not for Emergencies

This website is not intended for medical emergencies or urgent medical needs.

If you believe you may have a medical emergency, call 911 or go to the nearest emergency department.

5. No Guarantee of Outcome

PreOncology is designed to support cancer prevention, risk assessment, early detection, and clinical oversight.

However, no screening program, risk model, imaging test, blood test, genetic test, clinical review, or surveillance protocol can guarantee that cancer will be prevented, detected, cured, or detected at an early stage.

Cancer biology is complex. False positives, false negatives, indeterminate findings, interval cancers, incidental findings, unnecessary follow-up testing, anxiety, cost, and other risks may occur.

6. Eligibility and Availability

PreOncology services may not be available in all states, markets, or clinical circumstances.

Services may depend on physician review, applicable law, licensing rules, partner availability, clinical appropriateness, and program capacity.

We may decline, suspend, or discontinue access to services if we determine that the services are not appropriate, available, or permissible.

7. Clinical Services and Third-Party Partners

Certain services may be provided by or in coordination with third parties, including laboratories, genetic testing companies, imaging centers, radiology groups, primary care physicians, specialists, technology vendors, and other partners.

PreOncology is not responsible for the independent acts, omissions, policies, fees, scheduling delays, clinical judgments, or service quality of third-party providers, except where required by law or contract.

8. Genetic and Genomic Testing

If you participate in services involving genetic or genomic testing, additional consent forms, laboratory terms, privacy practices, and clinical disclosures may apply.

Genetic and genomic information may have implications for you and your biological relatives. You should review all consent materials carefully and discuss questions with a qualified clinician or genetic counselor.

9. Member Responsibilities

You agree to provide accurate, complete, and current information.

You are responsible for informing PreOncology and your clinicians of changes to your health status, family history, medications, prior testing, symptoms, diagnoses, or other relevant information.

You understand that inaccurate, incomplete, or outdated information may affect risk assessment, surveillance recommendations, clinical interpretation, and care coordination.

10. Account Security

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree to notify us promptly of any unauthorized use or suspected security issue.

11. SMS Messaging Terms

By providing your mobile phone number to PreOncology, you agree that PreOncology may send you SMS/text messages related to your account, account security, care journey, appointments, and use of the PreOncology platform.

PreOncology SMS messages may include:

  • one-time passcodes or verification codes for authentication;
  • appointment reminders and scheduling updates;
  • reminders to complete required program tasks;
  • account, service, or care-related notifications.

Message frequency varies based on your account activity, appointments, care journey, and communication preferences. Message and data rates may apply. SMS messages may be sent using your mobile carrier’s messaging or data services, and your carrier may charge you for sending or receiving messages. PreOncology is not responsible for any fees charged by your mobile carrier.

During invitation-based registration, users may be asked to provide a mobile phone number. Users may be required to receive SMS messages for account security purposes, such as one-time passcodes. Users may separately choose whether to receive optional SMS notifications related to care, appointments, and program tasks.

Optional SMS notifications are not required as a condition of purchase or participation in the PreOncology platform. You may opt out of optional SMS notifications at any time by replying STOP to any text message. You may reply HELP for assistance.

You are responsible for providing a valid mobile phone number and for keeping your contact information up to date. PreOncology is not responsible for SMS messages that are not delivered because your contact information is inaccurate, outdated, blocked by your carrier, or otherwise unavailable.

12. Acceptable Use

You agree not to:

Use the website for unlawful, fraudulent, harmful, or abusive purposes.

Attempt to gain unauthorized access to systems, accounts, data, or networks.

Interfere with website security, functionality, or availability.

Upload malware, harmful code, or deceptive content.

Scrape, copy, harvest, or use automated tools to extract website content without permission.

Misrepresent your identity or affiliation.

Use PreOncology content to develop, train, or improve competing products, services, models, databases, or clinical decision tools without written permission.

13. Intellectual Property

All website content, trademarks, trade names, logos, graphics, text, designs, software, workflows, clinical frameworks, risk-model descriptions, program architecture, educational content, and other materials are owned by or licensed to PreOncology and are protected by intellectual property laws.

You may view website content for personal, non-commercial use only.

You may not copy, reproduce, distribute, modify, publish, create derivative works from, reverse engineer, or commercially exploit any PreOncology content without prior written permission.

14. No License to Clinical Frameworks or Technology

Nothing in these Terms grants any license or right to use PreOncology’s proprietary clinical frameworks, algorithms, protocols, terminology, software, workflows, surveillance logic, signal resolution methods, educational content, or business methods.

This includes, without limitation, PreOncology’s risk assessment architecture, Dynamic Risk Engine, Protocol Optimization Engine, Signal Resolution Engine, Detection Mathematics framework, Stage Alpha Operating System, ATLAS-related architecture, surveillance protocols, Signal Board workflows, and related proprietary materials.

15. User Submissions

If you submit feedback, suggestions, comments, ideas, testimonials, or other non-clinical content, you grant PreOncology a non-exclusive, royalty-free, worldwide right to use that content for business, improvement, marketing, and operational purposes, subject to applicable privacy and health information laws.

Clinical information, medical records, genetic information, and protected health information will be handled in accordance with applicable law, our Privacy Policy, and, where applicable, the PreOncology Institute, PA Notice of Privacy Practices.

16. Payments and Fees

Certain services may require payment.

Fees, payment terms, cancellation policies, refund policies, and membership terms may be provided separately.

You are responsible for all charges you authorize or incur, except where otherwise stated in a written agreement.

17. Insurance and Reimbursement

PreOncology may be a cash-pay program and may not participate with all insurance plans.

Certain follow-up testing, consultations, procedures, or medically necessary services may or may not be covered by insurance. Coverage decisions are made by insurers and are not guaranteed by PreOncology.

You are responsible for understanding your insurance coverage and financial obligations.

18. Disclaimers

The website and its content are provided “as is” and “as available.”

To the fullest extent permitted by law, PreOncology disclaims all warranties, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, merchantability, non-infringement, availability, and security.

We do not warrant that the website will be uninterrupted, error-free, secure, or free of harmful components.

19. Limitation of Liability

To the fullest extent permitted by law, PreOncology and its affiliates, officers, directors, employees, clinicians, contractors, vendors, and agents will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to your use of the website or online content.

Nothing in these Terms limits liability that cannot legally be limited, including liability arising from professional medical services where prohibited by law.

20. Indemnification

You agree to indemnify and hold harmless PreOncology and its affiliates, officers, directors, employees, contractors, vendors, and agents from claims, damages, losses, liabilities, costs, and expenses arising from your misuse of the website, violation of these Terms, violation of law, or infringement of third-party rights.

21. Privacy

Your use of the website is also governed by our Privacy Policy.

Clinical services may also be governed by additional consents, authorizations, patient agreements, and the PreOncology Institute, PA Notice of Privacy Practices.

22. Changes to the Website or Terms

We may update the website, services, content, and these Terms from time to time.

Updated Terms will be posted on the website with a revised “Last Updated” date.

Continued use of the website after changes are posted means you accept the updated Terms.

23. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, unless otherwise required by applicable law.

24. Dispute Resolution

Any dispute arising from or related to these Terms or use of the website will be resolved in the state or federal courts located in Florida, unless a separate written agreement requires a different dispute resolution process.

PreOncology may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, systems, or proprietary rights.
